Governance & Transparency

Governed by constitution, not convenience.

AFED operates under a formally adopted constitution — the 2021 Act — that sets out how the association is structured, governed and held accountable at every tier.

Preamble

Why we govern ourselves this way

"We, the entire members of the Association for Formidable Educational Development (AFED), operators of private Nursery, Primary, Secondary, Tertiary and Allied education institutions, do hereby make, enact and give unto ourselves this constitution, to promote, provide, harmonize and guarantee good governance built on love, equity and justice for all."

As stakeholders, the constitution explains the administrative structure and authority governing the association. AFED is non-political but purely humanitarian and education-aiding, with the desire to improve and enhance education in Nigeria and the world at large.

Article 3 — Constitution's Supremacy

The constitution is supreme and binding on all members irrespective of status, adopted by at least a two-thirds (2/3) majority of members present at congress.

Article 27 — Amendment

Any section may be modified by a two-thirds (2/3) majority vote at a general meeting, provided sixty (60) days' notice is given by written motion.

Article 13 & 14 · Oversight Bodies

Who watches over the association

Board of Trustees (BOT)

Made up of all past Presidents and the incumbent National President, registered under the Companies and Allied Matters Act. The BOT upholds AFED's vision, mission and purpose, meets at least twice a year, and steps in to resolve leadership crises or disputes when they arise.

AFED Associate Council

Composed of all past and present national executives and State Controllers. Members progress through ranks — Council Member, Associate Council Member, and Fellow Council Member — recognising sustained, loyal service to the association.

Articles 7 & 12 · Elections

How leaders are chosen and held to term

Tenure

Elected officers serve a four (4) year term, renewable once, but may not stand for a third term in the same position.

Elections

Conducted by an independent Electoral Committee via simple majority vote of registered members — no serving officer may sit on the committee.

Dispute Resolution

The Board of Trustees steps in during any leadership crisis, appointing a caretaker committee or conducting fresh elections within six months.

Section 2 · Code of Conduct (Selected Provisions)

Standards every member upholds

The full Code of Conduct runs to more than 40 provisions. A selection is highlighted below — the complete text is available from the State Secretariat.

Poaching & Debt Clearance +
A member found canvassing pupils from another member school is liable to sanction. A school admitting a pupil with outstanding debt to a member school must recover and remit that debt, or decline admission until it is cleared.
Financial Integrity +
Any member found guilty of misappropriating association funds is liable to a fine and repayment, and is barred from holding office for a minimum of ten (10) years.
Meeting Conduct +
Members address the house through the presiding officer, avoid unseemly interruptions, and raise points of order respectfully. Persistent absenteeism attracts escalating sanctions.
School Establishment Standards +
New member schools must operate from a purpose-built or converted facility with a perimeter fence, adequate playground, and a minimum of twelve well-ventilated classrooms, sited a reasonable distance from an existing school.
Harmonisation & Fee Policy +
Member schools follow a uniform calendar for vacations and breaks, aligned with State and Federal Ministry of Education guidance. Schools charging daily fees are not recognised as AFED members.
Indecent Behaviour & Safeguarding +
Any proprietor found harassing pupils or students is expelled from the association immediately and handed over to law enforcement agencies.
